(резервный фонд) Часть капитала (capital) компании, отличная от той его части, которая представляет собой акционерный капитал. Источником формирования резервного фонда является нераспределенная прибыль или эмиссия акционерного капитала по стоимости выше номинала. Резервный фонд отличается от резервов (provisions) тем, что во втором случае предполагается определенное уменьшение стоимости актива или известное обязательство, тогда как первый представляет собой еще не распределенный доход, а в некоторых случаях и вовсе не подлежащий распределению доход (например, суммы на счете премий на акции или резервный фонд погашения срочных привилегированных акций). Директора компании имеют право направлять часть резервных фондов на определенные цели (например, в амортизационный резерв предприятия (reserve for obsolescence)). Вместе с тем резервные фонды нельзя рассматривать как специфические денежные средства, отложенные на определенные цели, так как они представлены общими чистыми активами компании. Резервные фонды подразделяются на нераспределенную прибыль (retained earnings)-резервы, которые могут быть распределены между акционерами в виде дивидендов, и на капитальные резервы (capital reserves), которые по различным причинам не подлежат распределению в виде дивидендов, хотя и могут быть превращены в постоянный акционерный капитал путем бонусной эмиссии.
